Terms of Service

1. Acceptance of Terms

By accessing the website at brake.net, engaging our design or software engineering services, or executing a project proposal with Brake Studio (“Brake.net”, “we”, “us”, or “our”), you (“Client”, “you”, or “your”) agree to be bound by these Terms of Service.

If you are entering into this agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you possess the authority to bind such entity to these Terms.

2. Services & Project Engagements

Brake.net provides custom digital engineering, modern website development, mobile applications, enterprise software systems, UI/UX design, cloud infrastructure orchestration, and technical consulting.

• Statement of Work (SOW): Each custom project engagement is governed by a dedicated scope of work, milestone schedule, and estimated delivery timeframe agreed upon by both parties.
• Scope Changes: Any requested alterations, expansions, or new feature additions outside the original agreed scope will be quoted separately as a change order or billed under hourly advisory rates.
• Timelines: While we exert industry-leading diligence to satisfy project deadlines, completion schedules are dependent on prompt feedback, asset provision, and client approvals.

3. Client Responsibilities & Materials

To ensure successful and timely execution of deliverables, the Client agrees to:

• Provide required copy, brand assets, API credentials, third-party licenses, and technical inputs in a timely manner.
• Designate an authorized point of contact with decision-making power for reviews and sign-offs.
• Ensure that all materials and data provided to Brake.net do not infringe upon any third-party intellectual property or copyright.

4. Intellectual Property & Code Ownership

We believe in empowering clients with full control over their technology assets:

• Client Deliverables: Upon receipt of full and final payment for the project, all bespoke source code, custom graphic assets, and product designs created exclusively for the Client transfer to the Client.
• Pre-Existing Frameworks & Tooling: Brake.net retains ownership of general open-source utilities, proprietary boilerplate workflows, and reusable libraries developed independently of client-specific custom logic.
• Portfolio Rights: Unless governed by a formal Non-Disclosure Agreement (NDA), Brake.net reserves the right to display project previews, visual screenshots, and case studies in our digital portfolio and promotional materials.

5. Billing, Payments & Retainers

Terms regarding invoices, milestone disbursements, and retainer fees include:

• Deposit / Initial Milestone: Most engineering engagements require an upfront deposit or milestone retainer before project initiation.
• Payment Schedule: Invoices are due within the payment window specified on each invoice (typically 14 calendar days).
• Third-Party Costs: Domain registrations, specialized third-party cloud hosting fees, external SaaS subscriptions, and proprietary paid APIs remain the financial responsibility of the Client.

6. Warranties & System Maintenance

We engineer our applications using modern standards, rigorous testing, and resilient architectures:

• Warranty Period: Brake.net provides a standard 30-day post-launch warranty period during which any reproducible bugs or deviations from the agreed specifications are corrected at no additional charge.
• Post-Warranty Support: Long-term updates, server maintenance, framework upgrades, and continuous feature iterations are handled under ongoing monthly maintenance agreements.

7. Confidentiality & Non-Disclosure

Both parties agree to treat proprietary business data, trade secrets, system credentials, and confidential project details with strict confidence. Neither party shall disclose such confidential material to third parties without prior written consent, except as required by applicable law.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Brake.net and its engineers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, revenue, or business interruption, arising out of or in connection with our services or website.

Our aggregate liability for any claims arising from a specific engagement shall not exceed the total fees paid by the Client to Brake.net under the applicable project agreement during the three (3) months preceding the incident.

9. Termination & Governing Law

Either party may terminate a project agreement upon written notice if the other party breaches a material term and fails to cure such breach within fourteen (14) days. In the event of termination, the Client shall pay for all work completed up to the date of termination.

These Terms shall be governed by and construed in accordance with applicable laws, without regard to its conflict of law principles.
